1. Preamble

These terms and conditions form an integral part of Comau’s “General Terms and Conditions of Sale – Europe – Robotics” in the version referenced in the Offer (“GTC”). Capitalized terms used herein shall have the meanings assigned to them in the GTC.

2. Standard Warranty

2.1 The standard warranty on the Products shall have a duration of 12 (twelve) months and shall commence on the date of shipment of the Product (“Standard Warranty”).

2.2 Any extensions of the Standard Warranty agreed upon between the Parties shall be specified in the Offer or in the Contract (“Contractual Extensions”).

3. Free 6 (six)-Month Extension

3.1 Without prejudice to the provisions of the GTC, Comau grants a free 6 (six)-month extension of the warranty applicable to the Product (the “Free Warranty”), calculated in addition to the Standard Warranty and any Contractual Extensions, provided that:

a) the Product is properly registered on the registration portal within 6 (six) months from the date of shipment; and

b) the granting of the Free Warranty is not expressly excluded in the Offer, in the Contract, or in other agreements entered into between the Parties in relation to the sale of the Product.

3.2 The Free Warranty:

a) does not alter the commencement date of the Standard Warranty and shall not, under any circumstances, result in the reopening, renewal, or reactivation of warranty periods that have already elapsed;

b) is associated with the serial number of the Product to which it refers and is non-transferable to other products;

c) applies exclusively in accordance with the terms, conditions, limitations, and exclusions set forth in the GTC;

d) unless otherwise indicated in writing by Comau, is valid exclusively in the country of shipment of the Product and is in any case subject to any restrictions deriving from applicable local laws, as well as export control legislation.

3.3 Registration of the Product on the Portal may be performed by the purchaser of the Product (“Customer”) or, in the event that the Customer integrates the Product into a plant or system intended for a third party, directly by the latter (the “End User”).

4. Transferability

In the event of integration of the Product for the benefit of an End User:

a) the Standard Warranty, any Contractual Extensions, and the Free Warranty may be transferred by the Customer to the first End User of the Product. It is understood that such transfer shall not involve any extension, suspension, interruption, renewal, or new commencement date of the applicable warranty;

b) the rights of the End User arising from any such transfer shall be governed exclusively by the GTC. Any other action, claim, or remedy, whether contractual or tortious, by the End User against Comau is excluded. The Customer undertakes to ensure that the End User receives and acknowledges the GTC prior to or concurrently with the transfer of the Product. Failure to comply with this obligation shall not, in any case, result in any extension, aggravation, or modification of Comau’s obligations or liabilities towards the End User;

c) for clarity, the Standard Warranty, any Contractual Extensions, and the Free Warranty operate exclusively with respect to defects or non-conformities of the Product and do not extend to the plant, system, or other goods in which the Product is incorporated, installed, or integrated;

d) the Customer and the End User acknowledge that, due to integration, installation, or commissioning lead times, registration of the Product on the Portal may occur when the Standard Warranty and/or any Contractual Extensions and/or the Free Warranty have already partially or fully elapsed. In such cases:

• the Free Warranty shall not entail the reinstatement or reactivation of warranty periods that have already expired; and

• the Free Warranty shall only be granted for any remaining period that may still be available at the time of registration.
